Constitution and Articles of Association

Terms of Reference:

‘The Association’ shall mean this association as constituted in this document and its amendments and shall comprise members, steering committee members and executive members.

‘A member’ is any person that has completed a registration process.

‘The steering committee’ comprises members that regularly attend steering committee meetings.

‘The Executive members ‘ comprise members that have been appointed to have an executive role by resolution.

‘Resolution’ shall mean any constitutionally valid decision, instrument or minute passed down by the members or executive.

‘Quorum’ a minimum of 2 executive members or 5 non executive members.

Article 1 – Common Purpose

The Common purpose of the members of the Association is protect both the Natural and the Managed Amenities and resources in and around Lytchett Matravers from permanent and overwhelming destruction by Building Development.

Article 2 – Membership

Excepting sanction, any person shall be free to register as a member of the Association. A member may also withdraw from the Association at any time and without notice by a process of de-registration. A person can only be sanctioned by Resolution.

Article 3 – Freedoms of Membership

All members have the right to attend any meeting and participate in the process of passing resolutions.

Article 4 – Executive

The executive shall as a minimum comprise 3 members of the Association.

Executive Officers shall volunteer their services and be appointed by Resolution.

Article 5 – Constitutional validity of Resolutions

Resolutions shall be deemed constitutionally valid only when they meet all the following conditions of formation.

  • a) They are agreed by consensus at a quorate meeting
  • b) That there shall have been reasonable notice made to steering committee members as to the advent of that meeting where consensus was taken.
  • c) That the resolution be minuted and formerly adopted (Eg by agreeing the minute at a following meeting).

Article 6 – Amendments

Amendments to this Constitution shall be made by Resolution.
